GlobalData’s AI Hub Terms of Use

These Terms of Use supplement any agreement you may have with GlobalData for products and services (“Main Agreement”) which include access to GlobalData’s AI Hub (“AI Hub”), which shall, for the avoidance of doubt, include the viewing, downloading or exporting of content from GlobalData’s AI Hub. By using the AI Hub, you agree to these Terms of Use in addition to the terms and conditions of the Main Agreement.

  1. GRANT OF LICENSE:
    Provided at all times you have a Main Agreement with GlobalData, GlobalData grants to you (“Customer”) a license on the same terms as in the Main Agreement to access and use the AI Hub subject to these Terms of Use. Customer will not acquire any ownership rights or intellectual property rights or any other right or interest in the AI Hub by virtue of these Terms of Use, all of which belong to GlobalData. The intellectual property rights to all information and data generated by the AI Hub (“Outputs”) are owned and retained by GlobalData.
  2. FAIR USAGE
    Your use of the AI Hub during the Initial Term and any Renewal Term thereafter (as defined in the Main Agreement) and contractual terms have been determined on the basis of fair usage and therefore is subject to a fair usage policy. This policy is additional to any terms and provisions contained in the Main Agreement.
    Fair usage is defined as (1) the quantity and complexity of queries, downloads, content views and other outputs of AI Hub that is reflective of reasonable expectations of your user profile and (2) manual use of the AI Hub by you and not by any automated or electronic tools. Reasonable expectations are defined in the context of GlobalData’s wider user client-base, similar organisations and similar users. Abuse of AI Hub, including, but not limited to, exceeding fair usage (which shall include, but not be limited to, GlobalData’s assessment that your use of the AI Hub could not reasonably have been undertaken manually and therefore that your use included the use of automated or electronic tools), will result in corrective action. GlobalData reserves the right, at it’s sole discretion, to implement corrective action which may include limitations on usage, account suspension, termination and excess fees.
  3. DISCLAIMERThe Outputs generated on the AI Hub are generated using OpenAI GPT models, utilising an Artificial Intelligence (“AI”) Large Language Model System (“LLM”) for the purpose of providing the Customer with prompt insights to its chosen inputted queries and/or the Customer’s selected system options, which can then be explored and refined as the Customer so requires. The Outputs generated are based upon GlobalData’s own independent research databases.
    Customer acknowledges that the Outputs (which include any download(s) or export(s) of content by Customer from GlobalData’s AI Hub) by Customer’s use of the AI Hub, is provided for general information purposes only and has not been independently verified by a human source prior to it being made available to you.
    WHILE GLOBALDATA STRIVES TO DELIVER ACCURATE AND RELIABLE OUTPUTS, IT MAY NOT ALWAYS REFLECT THE LATEST DATA, DEVELOPMENTS OR EXPERT RESEARCH. GLOBALDATA DOES NOT MAKE ANY WARRANTIES, REPRESENTATIONS OR GUARANTEES AS TO THE CONTENT OF THE OUTPUTS OF THE AI HUB, NOR AS TO THE ACCURACY, COMPLETENESS, TIMELINES, RELIABILITY OF THE INFORMATION PROVIDED, OR THAT THE AI HUB WILL BE ERROR-FREE. TO THE FULLEST EXTENT PERMITTED BY APLICABLE LAW AND REGULATION, GLOBALDATA DISCLAIMS ANY AND ALL LIABILITY IN RELATION TO THE SAME.
    The Customer’s use of the AI Hub and the Outputs should not be considered as professional, legal or financial advice that has been personalised for the Customer as GlobalData’s client, nor any other form of advice or guidance.
    GlobalData encourages the Customer to review and independently verify the Outputs before making decisions based on the Outputs, and in doing so, confirm that the Outputs are correct and suitable for Customer’s intended business purpose. Any actions taken based on the Outputs are at Customer’s own risk. GlobalData will not be liable for any losses, damages or claims arising directly or indirectly in connection with the use of the AI Hub and Outputs.
    By using the AI Hub, Customer acknowledges and confirms that it has understood and agrees to the entirety of this clause 6 (Disclaimer).
  4. FURTHER PROVISIONS
    These Terms of Use and the Main Agreement (the terms of which are incorporated herein by reference) constitute the entire understanding between the parties relating to the AI Hub. To the extent that there is any inconsistency between these Terms of Use and the Main Agreement, these Terms of Use shall prevail.
    Any terms introduced by the Customer or presented and/or referenced in any purchase orders or otherwise are hereby rejected and do not form part of GlobalData’s agreement with the Customer. The Customer hereby acknowledges and accepts that GlobalData provides the AI Hub strictly under these Terms of Use. Customer shall not use the AI Hub if it does not agree with these Terms of Use.
    The Terms of Use may be varied from time to time by GlobalData and Customer is encouraged to check these Terms of Use for its continued compliance. Failure at any time to enforce any provision within these Terms of Use or to require performance by the other party of any such provision within these Terms of Use shall not be construed as a waiver of such provision or affect the right of either party to enforce the same. If any provision is held to be invalid or unenforceable by any tribunal of competent jurisdiction, the remaining provisions shall not be affected and shall be carried out as closely as possible according to the original intent. These Terms of Use do not confer any rights to or on any third party. These Terms of Use shall be governed by the laws identified as the governing law in the Main Agreement and each party agrees that jurisdiction to deal with any disputes (including non-contractual disputes) arising out of or in connection with these Terms of Use shall lie with the courts of the jurisdiction identified in the Main Agreement.
